Terms of Use

1. Agreement and Acceptance

These Terms of Use ("Terms") form a legally binding agreement between InnScience Labs Inc. ("InnScience", "we", "our", "us") and the individual or organization ("you" or "User") accessing or using the InnScience website and related services at https://innscience.ca (the "Platform").

By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility and Accounts

To use the Platform, you must:

• Be at least 18 years old and capable of forming a binding contract;
• Provide accurate and complete registration information; and
• Maintain the security of your account credentials.

You are responsible for all activity under your account. Notify InnScience immediately at team@innscience.ca if you suspect unauthorized use. We may suspend or terminate your account at our discretion for breach of these Terms or misuse of the Platform.

3. Platform Use

The Platform enables research discovery, expert networking, data search, professional profiling, and R&D collaboration between Clients, Researchers, Inventors, Industry Partners, and Organizations.

You agree to use the Platform only for lawful purposes and in compliance with these Terms and applicable laws.

You must not:

• Copy, modify, distribute, or reverse-engineer any part of the Platform;
• Upload or transmit malicious code or misleading information;
• Harvest, scrape, or collect data using automated tools or unauthorized methods;
• Use the Platform to harass, defraud, or infringe upon the rights of others.

4. Content and Intellectual Property

All Platform content, features, and technology (including code, logos, AI models, databases, and enriched profile data) are owned or licensed by InnScience.

You retain ownership of any content you upload ("User Content"), but you grant InnScience a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content solely to operate, improve, and promote the Platform.

You represent that you have all rights necessary to upload and share your content.

5. Payments and Fees

Certain Platform services may be subject to fees. All fees will be displayed before purchase and are payable in Canadian dollars.

You agree to provide accurate billing information and authorize InnScience to process payments through our designated payment provider. Taxes may apply as required by law.

Failure to pay may result in suspension or termination of your access.

6. Data Protection and Privacy

InnScience collects and processes personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial laws.

Publicly available professional information collected from external sources or publicly accessible web materials may be processed or enriched using automated systems, including AI.

By using the Platform, you consent to our processing of your information for the purpose of providing and improving the Services.

7. AI, Research, and Analytics

InnScience uses AI-based tools for search, classification, profile enrichment, and content analysis. These systems operate under human oversight and do not make binding or automated decisions affecting users.

Aggregated or anonymized research or professional data may be analyzed to improve Platform functionality. No sensitive personal information is disclosed without consent.

8. Disclaimer of Warranties

The Platform and all related services are provided "as is" and "as available" without any warranty or condition, express or implied, including merchantability, fitness for purpose, accuracy, or non-infringement.

InnScience does not guarantee uninterrupted or error-free operation or the accuracy of content retrieved through the Platform, including TechLink search results.

9. Limitation of Liability

To the fullest extent permitted by law, InnScience and its officers, employees, and contractors are not liable for indirect, incidental, consequential, or punitive damages arising out of your use of the Platform.

Our total cumulative liability for any claim will not exceed CAD $1,000.

Some jurisdictions (including Québec) may not allow certain liability limitations; statutory protections will apply where required.

10. Termination

You may terminate your account at any time by contacting us.

InnScience may suspend or terminate your access if you breach these Terms, misuse TechLink data, or use the Platform in a manner that may cause harm or legal exposure.

Sections 4, 6, 8, and 9 will survive termination.

11. Changes to the Terms

InnScience may revise these Terms at any time. Updated versions will be posted on the Website with the "Last Revised" date.

Continued use of the Platform constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any disputes arising from these Terms.
